Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Centoffer websites, the Services OS™ platform, the customer, provider/vendor, and engineer portals, and related applications and services (together, the “Services”), operated by Brocent Singapore Pte. Ltd. (“Centoffer”, “we”, “us”). By accessing or using the Services, or by creating an account, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Who we are

Centoffer provides a platform for global IT managed services that connects enterprise customers with IT service providers and field engineers, and orchestrates dispatch, service levels, and payments. The Services are operated by Brocent Singapore Pte. Ltd. Centoffer is an independent business founded and invested by Brocent.

2. Definitions

  • Customer — an organization that procures IT services through the platform.
  • Provider / Vendor — an MSP or IT company that delivers services through the platform.
  • Engineer — an individual who registers to perform field or remote work.
  • Content — data, text, files, and other materials submitted to the Services.

3. Eligibility & accounts

You must be at least 18 years old and able to form a binding contract. You are responsible for the accuracy of your registration details, for safeguarding your credentials, and for all activity under your account. Notify us immediately of any unauthorized use. We may suspend or terminate accounts that violate these Terms.

4. Roles & relationships

Centoffer operates the platform that connects Customers, Providers, and Engineers. Unless expressly agreed in a separate written contract, the specific commercial terms of any engagement (scope, rates, SLAs, payment) are set out in the relevant order, statement of work, or provider agreement. Nothing in these Terms creates a partnership, joint venture, or employment relationship between you and Centoffer except as expressly stated in a separate agreement.

5. Acceptable use

You agree not to: (a) use the Services unlawfully or in breach of any third-party rights; (b) attempt to gain unauthorized access to any system or data; (c) introduce malware or disrupt the Services; (d) scrape, reverse-engineer, or resell the Services without authorization; or (e) misrepresent your identity, qualifications, or affiliation.

6. Fees & payment

Fees, payout terms, billing cycles, and currencies are described in the applicable order, provider agreement, or in-platform terms. Where Centoffer facilitates payouts to Providers or Engineers, payouts are subject to verification, applicable taxes, and the settlement terms shown in the platform. You are responsible for taxes applicable to you.

7. Content & intellectual property

You retain ownership of Content you submit and grant Centoffer a worldwide, non-exclusive license to host, process, and use that Content to provide and improve the Services. The Services, including all software, trademarks (including “Centoffer” and “Services OS™”), and platform materials, are owned by Centoffer or its licensors and are protected by law. We grant you a limited, revocable, non-transferable right to use the Services for their intended purpose.

8. Confidentiality

Each party may receive confidential information of the other. You agree to protect such information, use it only to perform under these Terms, and not disclose it except as permitted or required by law.

9. Third-party services

The Services may integrate with or link to third-party services. We are not responsible for third-party services, and your use of them is governed by their own terms.

10. Disclaimers

The Services are provided “as is” and “as available”. To the maximum extent permitted by law, Centoffer disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted or error-free.

11. Limitation of liability

To the maximum extent permitted by law, Centoffer will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill. Our aggregate liability arising out of or relating to the Services will not exceed the amounts you paid to Centoffer for the Services in the twelve months preceding the claim.

12. Indemnification

You agree to indemnify and hold Centoffer harmless from claims, damages, and expenses arising from your breach of these Terms, your Content, or your use of the Services.

13. Term & termination

You may stop using the Services at any time. We may suspend or terminate your access if you breach these Terms or where required by law. Provisions that by their nature should survive termination will survive.

14. Governing law & disputes

These Terms are governed by the laws of Singapore, without regard to conflict-of-laws rules, and the courts of Singapore will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services, unless a separate signed agreement provides otherwise.

15. Changes to these Terms

We may update these Terms from time to time. We will post the updated Terms with a new “Last updated” date, and material changes will take effect as described in the notice. Your continued use of the Services constitutes acceptance of the updated Terms.
